1. About Us
These Terms of Service govern your engagement with Lumière Consultancy Ltd, registered in England and Wales. Our registered address is 37 Maiden Lane, Covent Garden, London, WC2E 7JS. By engaging our services or using our website, you agree to these Terms.
2. Our Services
Lumière Consultancy provides hospitality consulting services including concept development, menu engineering, business strategy, pre-opening support, leadership development, interior design, branding, and social media and photography. The specific scope, timeline and deliverables for each engagement will be agreed in writing before work begins.
3. Initial Consultations
Initial consultations are offered at no charge and do not constitute a binding agreement. No consulting relationship is established until both parties have agreed to the terms of an engagement in writing.
4. Deliverables and Timelines
All deliverables and timelines will be agreed in writing prior to commencement. We will use all reasonable efforts to meet agreed timelines. Where delays arise from circumstances outside our control, we will communicate promptly and agree revised timelines with you.
5. Fees and Payment
All fees will be agreed in writing before work begins. Unless otherwise agreed, invoices are due within 14 days of receipt. Late payments may incur interest at 8% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts Act 1998.
6. Intellectual Property
Upon full payment, you own all deliverables created specifically for your engagement. Lumière Consultancy retains ownership of all pre-existing frameworks, methodologies and tools used in the delivery of services. You receive a non-exclusive licence to use these for your own business purposes.
7. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This obligation continues for two years after the end of the engagement. It does not apply to information that is publicly available or required to be disclosed by law.
8. Limitation of Liability
Our total liability for any claims arising from an engagement shall not exceed the total fees paid for that engagement in the 12 months preceding the claim. We are not liable for any indirect or consequential losses. Nothing in these Terms limits liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.
9. Termination
Either party may terminate an engagement with 30 days written notice. If either party materially breaches these Terms and fails to remedy the breach within 15 days of written notice, the other party may terminate immediately. Upon termination, you will pay for all work completed to date.
10. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
